Seller Agreement

1. Seller Eligibility

To register as a seller on EasyPod, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Have the legal authority to enter into this agreement.
• Provide accurate and complete registration information.
• Comply with all applicable local, national, and international laws and regulations.

2. Intellectual Property Representations and Warranties

As a seller, you represent and warrant that for every design, image, artwork, logo, text, or other material you upload, list, or offer for sale on the Platform:

• You are the original creator of the content, OR you hold a valid, written license or authorization from the rights holder that permits you to use, reproduce, distribute, and sell the content.
• The content does not infringe any copyright, trademark, patent, trade secret, right of publicity, right of privacy, or any other intellectual property or proprietary right of any person or entity.
• The content does not contain any material that is defamatory, obscene, or otherwise unlawful.
• You have obtained all necessary permissions, releases, and consents required for the use of any third-party elements included in your content (e.g., fonts, stock images, photographs of identifiable persons).
• You understand that EasyPod does not verify the intellectual property status of content and that this responsibility rests entirely with you.
• You are responsible for content supplied by your own customers (for example, personalized text or uploaded images) as if you had supplied it yourself, and you have obtained from them every right and consent needed for EasyPod and its fulfillment suppliers to produce and ship the product.
• EasyPod passes your content to fulfillment suppliers as received. If a supplier receives an infringement claim about your content, you authorize EasyPod to disclose your name and contact details to that supplier so the claim can be resolved, and your indemnity below extends to that supplier.

3. Seller Assumption of Risk

You expressly acknowledge and agree that:

• All content is uploaded at your own risk. You assume full and sole responsibility for the legality, reliability, appropriateness, and intellectual property ownership of all content you upload or list on the Platform.
• EasyPod has no obligation to monitor, review, or verify the IP status of your content before, during, or after it is listed on the Platform.
• You are solely liable for any and all claims, demands, lawsuits, damages, fines, penalties, costs, and expenses (including but not limited to reasonable attorney's fees) arising from any IP infringement or other legal violations related to your content.
• EasyPod shall not be a party to any intellectual property dispute between you and any third party and bears no responsibility or liability whatsoever for such disputes.

4. Indemnification

You agree to indemnify, defend, and hold harmless EasyPod, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, service providers, and the fulfillment suppliers and print partners that produce your orders from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal and attorney's fees) arising out of or relating to: (a) your User Content; (b) your violation of this Agreement or any applicable law; (c) your violation of any third party's rights, including intellectual property rights; (d) any claim that your content caused damage to a third party. This indemnification obligation shall survive the termination of your account and this Agreement.

5. Product Listings and Accuracy

As a seller, you agree to:

• Provide accurate and complete product descriptions, pricing, and availability information.
• Ensure product images accurately represent the products offered.
• Promptly update listings when products are no longer available or information changes.
• Not engage in misleading or deceptive listing practices.
• Fulfill orders in a timely manner and maintain quality standards.

6. Compliance with Takedown Requests

You acknowledge and agree that:

• EasyPod may remove any of your content at any time if it receives a valid intellectual property complaint, without prior notice to you.
• You will cooperate fully with any IP investigation conducted by EasyPod.
• Repeated IP complaints may result in account suspension or permanent termination under our Intellectual Property Policy.
• You may file a counter-notification if you believe content was removed in error, as described in our IP Policy.

7. Payments and Fees

Seller earnings, fees, commissions, and payment schedules are subject to the specific terms communicated during seller onboarding and may be updated from time to time. EasyPod reserves the right to withhold payments if there are unresolved intellectual property disputes or violations of this Agreement.

8. Account Suspension and Termination

EasyPod may suspend or terminate your seller account at any time, with or without notice, for any of the following reasons:

• Violation of this Agreement or the general Terms and Conditions.
• Intellectual property infringement or repeated IP complaints.
• Fraudulent, deceptive, or illegal activity.
• Failure to fulfill orders or maintain quality standards.
• Any conduct that EasyPod determines, in its sole discretion, to be harmful to the Platform or its users.

Upon termination, your right to use the Platform as a seller ceases immediately. Any outstanding obligations, including indemnification, shall survive termination.

9. Limitation of Platform Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYPOD SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM: (A) YOUR USE OF THE PLATFORM AS A SELLER; (B) ANY INTELLECTUAL PROPERTY CLAIMS RELATED TO YOUR CONTENT; (C) ANY DISPUTES BETWEEN YOU AND BUYERS OR THIRD PARTIES; (D) ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which EasyPod is registered. Any legal proceedings arising from this Agreement shall be brought in the competent courts of said jurisdiction.

11. Digital Acceptance

By clicking "Sign Up", "I Agree", or any similar button during the registration process, or by listing any product on the Platform, you acknowledge that you have read, understood, and agree to be bound by this Seller Agreement in its entirety. This digital acceptance constitutes a legally binding agreement equivalent to a handwritten signature.
