1. Acceptance of Terms

By accessing, browsing, or using the EasyPod platform ("Platform"), including any services, features, content, or applications offered by EasyPod ("Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.

2. Platform Description

EasyPod is a marketplace and order routing platform that connects dealers, sellers, and suppliers for custom product fulfillment. The Platform facilitates order placement, routing, production coordination, and delivery management between parties. EasyPod acts solely as an intermediary and does not itself manufacture, produce, or sell products.

3. Account Registration

To use certain features of the Platform, you must register for an account. When registering, you agree to:

Provide accurate, current, and complete information during the registration process.
Maintain and promptly update your account information to keep it accurate and current.
Maintain the security and confidentiality of your login credentials.
Accept responsibility for all activities that occur under your account.
Notify us immediately of any unauthorized use of your account.

4. User Content and Intellectual Property

Users may upload, submit, or transmit content, including but not limited to designs, images, artwork, logos, text, and other materials ("User Content") to the Platform. By uploading User Content, you represent and warrant that:

You own or have the legal right to use, reproduce, and distribute all User Content you upload, and you have obtained all necessary licenses, permissions, consents, and authorizations.
Your User Content does not infringe upon the intellectual property rights, copyright, trademark, patent, trade secret, moral rights, or any other proprietary rights of any third party.
You are solely responsible for your User Content and the legal consequences of uploading, publishing, and sharing it through the Platform.
You indemnify and hold harmless EasyPod, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your User Content or your violation of these Terms.

5. Seller Responsibilities

If you use the Platform as a seller or supplier, you additionally agree to:

Comply with all applicable laws, regulations, and industry standards.
Ensure all products and designs listed do not violate any third-party intellectual property rights.
Accept full responsibility for the legality and originality of products and designs you offer.
Respond promptly to any intellectual property complaints or takedown notices related to your content.
Maintain accurate product descriptions, pricing, and availability information.

Sellers are bound by the Seller Agreement in addition to these Terms.

6. Prohibited Conduct

You agree not to:

Upload, share, or sell any content that infringes on the intellectual property rights of others.
Use the Platform for any unlawful purpose or in violation of any applicable laws.
Attempt to gain unauthorized access to other users' accounts or Platform systems.
Interfere with or disrupt the Platform's operation or servers.
Upload content containing malware, viruses, or harmful code.
Engage in fraudulent, deceptive, or misleading practices.
Circumvent any content-filtering or security measures on the Platform.

7. Platform Role and Limitation of Liability

EasyPod operates as a technology platform and intermediary. We do not:

Manufacture, produce, or create any products listed on the Platform.
Guarantee the accuracy, quality, legality, or intellectual property compliance of User Content.
Pre-screen, verify, or endorse any designs, images, or materials uploaded by users.
Assume responsibility for transactions or disputes between users.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASYPOD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, USER CONTENT UPLOADED BY ANY USER, OR ANY INTELLECTUAL PROPERTY DISPUTES BETWEEN USERS OR THIRD PARTIES.

8. Indemnification

You agree to indemnify, defend, and hold harmless EasyPod, its affiliates, officers, directors, employees, agents, licensors, service providers, and the fulfillment suppliers and print partners that produce your orders from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorney's fees) arising out of or relating to your violation of these Terms, your use of the Platform, your User Content, or your violation of any rights of a third party, including intellectual property rights.

9. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, without prior notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. This includes but is not limited to repeated intellectual property violations under our repeat infringer policy.

10. Dispute Resolution

Any disputes arising out of or related to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the applicable laws of the jurisdiction where EasyPod is registered, unless otherwise required by law.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform with a revised "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which EasyPod is registered, without regard to its conflict of law provisions.
